  • Handling the formation and incorporation of new companies, as well as the preparation of resolutions, meeting minutes, and other corporate secretarial documents.
  • Ensuring timely submission of statutory forms and returns to the Companies Commission of Malaysia and Bursa Malaysia.
  • Organizing, updating, and maintaining all statutory records, registers, secretarial files, and records, including the safekeeping of common seals.
  • Coordinate with external regulators, internal and external auditors, as well as advisors or legal counsel.
  • Provide Corporate Governance advisory services and information to the Board of Directors, Committees, and both internal and external stakeholders by address governance matters, including securing necessary approvals and facilitating decision-making processes.
  • Oversee, monitor, and coordinate the implementation of development programs for directors.
  • Provide assistance, support, and recommendations to the Company Secretary on corporate secretarial and governance matters, as well as in managing the Company Secretarial Department. This includes preparing reports and implementing monitoring systems to ensure the department's objectives are met.
  • Serve as a backup during the absence of the Company Secretary and/or other company secretarial staff.
  • To provide any other duties as and when assigned from time to time.

Requirements

  • Bachelor’s degree in Corporate Governance, Law, Business Administration, or a related field.
  • Member of the Malaysian Institute of Chartered Secretaries and Administrators (MAICSA) or similar recognized professional body.
  • Minimum 5-7 years of relevant experience in corporate secretarial practice, preferably in a public listed company.
  • Proven experience in managing corporate secretarial functions, including company incorporation, preparation of resolutions, minutes, and statutory filings.
  • Experience liaising with regulatory authorities, auditors, and legal advisors.
  • Strong understanding of the Companies Act 2016, Bursa Malaysia Listing Requirements, and other relevant regulations.
  • In-depth knowledge of corporate governance practices and principles.
  • Excellent communication skills, both verbal and written, with the ability to advise and guide Boards, Committees, and stakeholders on governance issues.
  • Ability to lead and mentor junior secretarial staff.
  • Proficiency in Microsoft Office applications and corporate secretarial software.
  • Familiarity with managing common seals and maintaining secretarial records.
  • Strong leadership and problem-solving skills.
  • High level of integrity and professionalism.
