Key Responsibilities:

  • Assist the Assistant Manager and Head of Department, Corporate Secretarial on the day-to-day operation of the department.
  • Responsible for the preparation and dissemination of notices, agenda, minutes of meeting, matters arising and compilation of relevant papers to Board Members Board Committees and Management.
  • Draft circular resolutions and follow up with respective departments on the comments on the draft circular resolutions and amend/finalize upon review of the Head of Department.
  • Attend to request for circular resolutions, extracts of minutes and certified documents.
  • Preparing and managing correspondences to/from Directors, Management, Business Units and other relevant parties with the highest confidentiality.
  • Ensure regulatory compliance by maintaining statutory records of the companies and directors, ensuring timely lodgement of statutory documents to the Companies Commission of Malaysia.
  • Ensure timely update of the statutory register on changes in shareholders, directors, managers, secretaries etc.
  • Assist in updating Board Policy Manual, Board Charter, Terms of Reference and other policy relating to the Board/Board Committees/Management Committees.
  • Assist in special secretariat assignments which involve review on Board/Board Committee/ Management Committee Composition, Board Remuneration Structure and Corporate Governance etc.

Key Requirements:

  • Candidate must possess at least Degree/Master in Secretarial, Business Administration, Legal or equivalent.
  • 1 to 5 years’ experience in Corporate Secretarial field.
  • Candidate with professional qualification of ICSA/ Associate or Fellow MAICSA will be preferred.
  • Strong knowledge in Companies Act 2016 and the Malaysian Code on Corporate Governance.
  • Proficient in both written and spoken English and Bahasa Malaysia.
  • Possess a strong sense of responsibility, commitment and able to multi-task in a fast-working environment.
  • Result-oriented, committed, and able to work under pressure and tight deadlines.
  • Proficient in MS Office applications.
