Job responsibilities:

  • Handle all aspect of corporate secretarial services of own portfolio which included but not limited to ensure proper maintenance of statutory records, due submission of statutory returns and compliance of statutory requirements under the Companies Act, 2016, preparation of circular resolutions and compile meeting papers.
  • Assist the Manager/Senior Manager/HOD in all company secretarial matters.
  • Prepare and assist in the review of statutory forms/returns/all other company secretarial related documents.
  • Draft resolutions, minutes of board/board committee/shareholders/working committee meetings and board papers.
  • Ensure the proper submission of statutory forms/returns.
  • Coordinate, organize or attend board/board committee/shareholders/working committee meetings.
  • Ensure the proper and timely maintenance of statutory records/registers/corporate information.
  • To implement all relevant policies, procedures and work instructions as so defined in the Company’s Quality Management System.
  • Any other duties as and when assigned from time to time by the superior/management.

Job requirements:

  • ICSA qualification and a member of MAICSA.
  • Minimum 5 years working experience in company secretarial work with large organizations or PLC company.
  • Familiar with the Companies Act, the Main Market Listing Requirements and other relevant laws and regulations.
  • Familiar with corporate exercises such as fund raising, acquisition or disposal, joint venture, new ventures for both domestic and overseas businesses etc.
  • Possess leadership qualities and able to lead and guide subordinates.
  • Good interpersonal and communication skills.
  • Meticulous and able to work independently in a fast-paced working environment.
  • Excellent communication skills and proficiency in English and Bahasa Malaysia.
