Key Responsibilities:

  • Lead and manage the group legal corporate function, providing strategic legal advice and guidance across all jurisdictions where the business operates (including Singapore, Malaysia, Australia, Philippines, Thailand, Indonesia and Vietnam).
  • Advise on corporate transactional matters including capital markets transactions, mergers and acquisitions, joint ventures, strategic partnerships and financing transactions.
  • Advise the board of directors and senior leadership on legal risks and participate in board and committee meetings (including reviewing and preparing board papers, meeting minutes and resolutions).
  • Advise and negotiate on commercial contracts such as hospital laboratory management agreements, laboratory send out test agreements, customer contracts, supplier contracts, customer contracts, leases and IT agreements, as well as draft intra-group agreements.
  • Advise on corporate governance and regulatory matters including developing a comprehensive compliance programme and implementing group policies and ensuring compliance with applicable laws and regulations.
  • Manage and oversee the Group’s disputes and litigation matters.
  • Advise on employment law issues and contracts Including employee incentive schemes.
  • Collaborate closely with cross-functional teams, including finance, operations, and HR, to ensure legal support in key business initiatives.
  • Engage, oversee and manage external counsels.
  • Oversee and advise on corporate secretarial related matters.
  • Build, lead and mentor the legal team, fostering a high-performance culture and ensuring continuous development within the team.
  • Manage the legal budget and ensure efficient allocation of resources across legal operations and secretarial functions.

Requirements:

  • Bachelor of Laws (LLB) from a top tier law school.
  • Qualified to practice in Singapore, Malaysia, or other common law jurisdictions.
  • A minimum of 15 years of legal experience, with a blend of law firm and in-house roles, preferably within a multinational or highly regulated industry.
  • Proven track record in leading legal functions and providing counsel at the executive level, with exposure to cross-border, multi-jurisdictional matters.
  • Experience in capital markets, mergers and acquisitions, and commercial law, particularly in the APAC region, corporate governance and regulatory compliance preferred.
  • Strong business acumen and the ability to balance legal risks with business opportunities, particularly in high-growth sectors.
  • Exceptional leadership, communication, and negotiation skills, with the ability to influence at all levels of the organization.
  • Experience managing legal teams and external counsel relationships, as well as overseeing budgets and legal operations.
  • Ability to thrive in a dynamic, fast-paced environment.
