As the Legal Counsel – General Trade,

You will be the lead advisor to the commercial business and drive first-hand professional advice to your key stakeholders on matters of key strategic, financial and reputational importance to the company and its affiliates. Key parts of the role includes tracking and monitoring all contracts and contractual risks and advise/recommend solutions to minimize risk and protect the company’s interest; al whilst supporting the business in contracts negotiation and performing ad-hoc litigation work and corporate sectorial duties.

As the Legal Counsel, you will also play a key role in supporting the General Counsel in business integrity matter for the markets and to ensure internal and external compliance.

We are looking for someone who possesses leadership qualities, is commercially-minded, has strong business acumen and is able to provide practical and sound legal advice. You have to be a leader of the highest ethical standards and professional integrity, is driven, accountable and committed to delivering the best results for the business.

What you will be doing:

  • Interpret and identify risk and providing mitigation for all laws and regulations in relation to the company’s business (including competition law).
  • Review, prepare and negotiate contracts relating to general commercial, technology (including cloud application and services), intellectual property, corporate and property, supply chain matters.
  • Assisting General Counsel and the eB2B team in preparing, advising and implementing / executing eB2B and digital initiatives relating to the General Trade.
  • Address legal risks, provide regulatory advice and support, due diligence with liaising with internal stakeholders.
  • Support General Counsel to evaluate and advise on different risk factors regarding business decisions and operations, the application of effective risk management techniques and offer proactive advice on possible legal issues.
  • Support the implementation and transition of legal projects (including technology (e.g. e-commerce, cloud application and services) and process improvement projects).
  • Prepare materials, training and educating business partners on internal policies, areas of law such as competition law, data privacy and any other updates in laws and regulations relevant to the business.
  • Support the General Counsel in managingin executing strategies and plans to support the business goals.
  • Manage, review and advise on legal matters handled by external counsels (including pre & post litigations and potential litigations).
  • Supervise and coordinate with external company secretaries to ensure timely submission of statutory documents and preparation of resolutions.
  • Review of promotional materials and terms and conditions of promotion.
  • Submit standard reports as per specified frequency and maintaining contracts database and other databases.
  • Ensures all internal and external correspondence is in accordance with the Company requirements.
  • Ensure that The Coca-Cola Company’s ethical standards and code of business conduct are complied with.
  • Execute and manage the roll-out of any compliance / ethics programmes as may be required from time to time.
  • Build strong business relationships with internal stakeholders by adding value to the business.
  • Update legal knowledge by participating in educational opportunities / professional publications; maintaining personal networks; participating in professional organizations.
  • Contributing to team development.
  • Participate in market visits and festive blitzes as may be requested from time to time.
  • Attend to any ad-hoc projects or issues as assigned by the General Counsel from time to time, in relation to the wider legal team of The Coca-Cola Company.

Qualifications

You will need to have:

  • At least a Bachelor’s in Law (LLB) and has been called to the Bar
  • More than 8 years of experience as in-house corporate / commercial legal counsel in an MNC or in private practice in Malaysia with strong knowledge and application of Malaysian laws

Specific skills & competencies required:

  • Able to support business in contracts negotiation (commercial and procurement)
  • Strong business acumen
  • Excellent communication, interpersonal, organisational, and analytical skills. Able to communicate and deal with the different levels of the organization across functions, including senior management
  • Possesses highest professional and ethical standards
  • Experience in executing compliance programmes
  • Effective and passionate team player
  • Excellent technical, negotiations and drafting skills
  • Excellent organizational, project management skills
  • Able to relate and deal with staff / colleagues of all levels.
  • Hands on approach with a keen attention to details, good organizational ability and proven performance in problem solving.
