Regulatory Compliance:

  • Assist in ensuring the company complies with statutory and regulatory requirements, including filing returns with the Companies Commission of Malaysia (SSM).
  • Maintain statutory registers and records.

Board Support:

  • Prepare agendas, board papers, resolutions, and minutes for board and committee meetings.
  • Provide administrative support to the Board of Directors and ensure effective communication.

Corporate Governance:

  • Assist in implementing corporate governance practices and procedures.
  • Liaise with regulatory bodies, auditors, and legal advisors on governance matters.

Document Management:

  • Manage corporate documents, including Articles of Association, Memorandum, and other legal documentation.
  • Draft and review resolutions, notices, and agreements.

Stakeholder Engagement:

  • Act as a point of contact for internal and external stakeholders on secretarial matters.
  • Handle inquiries from shareholders and ensure timely dissemination of information.

Support in Transactions:

  • Provide support during corporate transactions, including mergers, acquisitions, and share allotments.
  • Coordinate with lawyers, tax advisors, and other professionals as required.

Ad Hoc Duties:

  • Perform additional tasks assigned by the Company Secretary or senior management to support the company’s needs.
  • Bachelor’s degree in Law, Business Administration, Corporate Governance, or related fields.
  • A professional qualification such as ICSA (Institute of Chartered Secretaries and Administrators) or equivalent is often preferred.
  • At least 1-3 years of experience in corporate secretarial work or a related field.
  • Familiarity with local company law, compliance requirements, and regulatory frameworks.
  • Strong organizational and communication skills.
  • Detail-oriented with the ability to handle confidential information.
  • Proficiency in Microsoft Office Suite and relevant secretarial software.
  • Knowledge of corporate governance principles and company secretarial practices.
  • Membership in a recognized professional body such as MAICSA (Malaysia), ICSA, or related organizations is an advantage.
  • Ability to multitask and work under tight deadlines.
  • Strong interpersonal skills for effective collaboration with stakeholders.
