Job Summary:

The Assistant Legal Manager (Corporate Affairs) will play a key role in supporting the Companys transactional legal needs, particularly in daily transactional contracts, fundraising documentation, mergers and acquisitions, and corporate governance. This role includes managing corporate matters related to the Companys Alliance Program and other strategic partnerships, while also liaising with the company secretary to ensure compliance with statutory requirements.

Key Responsibilities:

  • Draft, review, and negotiate contracts, including Management Agreements, Alliance Agreements, and fundraising documentation.
  • Provide legal support for the Companys fundraising initiatives, including preparation of term sheets, shareholder agreements, and finance-related contracts.
  • Assist in structuring and executing mergers and acquisitions, particularly those aligned with the Companys Alliance or Partnership Program.
  • Conduct legal due diligence for investments, partnerships, and M&A activities.
  • Share responsibility for drafting and reviewing agreements, and providing general legal advice to business and operational units.
  • Liaise with the company secretary to manage corporate governance matters, including filings, board resolutions, and compliance with statutory requirements.
  • Oversee and support corporate governance initiatives, ensuring compliance with internal policies, board directives, and statutory requirements.
  • Develop and maintain templates for investment agreements, partnership agreements, and M&A documentation.
  • Ensure compliance with regulatory requirements related to fundraising and M&A activities across various jurisdictions.

Qualifications:

  • Called to the Malaysian Bar, with 4-6 years of post-qualification experience.
  • Strong knowledge of corporate finance, mergers and acquisitions, investment agreements, and fundraising documentation.
  • Proven experience in contract management, transactional work, and legal research.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to handle complex, sensitive information with discretion.

Preferred Skills:

  • Experience in property management, real estate, or corporate finance.
  • Familiarity with cross-border M&A transactions, particularly in the context of strategic partnerships.
  • Strong project management skills with a focus on transactional and M&A work.
  • Excellent drafting, communication, and interpersonal skills.
  • Experience liaising with company secretaries on corporate governance matters.
