Responsibilities

  • To draft, vet and review all internal and external contracts, documents and agreements affecting CGC and its subsidiary company(ies)’s (as and when required) interest.
  • To identify, highlight and resolve any legal issues concerning CGC and its subsidiary company(ies)’s (as and when required) business operation/activities that may arise from time to time.
  • To assist Head, Legal Dept in conducting specific legal research and compiling legal material as and when necessary.
  • To assist Head, Company Secretarial Dept in managing and administering secretarial practices and corporate secretarial requirements in accordance with applicable rules and regulations.
  • To assist Head, Company Secretarial Dept in coordinating Board and Board oversight committees meeting of CGC and its subsidiary company(ies) (as and when required).
  • To assist General Counsel & Company Secretary (GC&CS) as Secretary of Group Management Committee/sub-committee meeting as determined by GC&CS.
  • To prepare the relevant documents such as notice of agenda, decision log, minutes of meeting, circular resolution and meeting related documents/actions for Group Management Committee/sub-committee meeting as determined by GC&CS.
  • To assume the role of document controller and manage and maintain records management filing system/database for legal and company secretarial matters and documents in accordance with LCS Departmental Manual.

Qualifications

  • Candidate must possess at least a Bachelor’s Degree, Professional Degree, Master’s Degree in Law, Corporate Secretarial, Corporate Administration, Corporate Governance or equivalent.
  • Preferably ICSA graduate or MAICSA associate.

Preferred Skills

  • Minimum 3-5 years of working experience in company secretarial, preferably in the financial services industry.
  • Must have technical knowledge on the relevant statutory laws governing the financial services industry i.e. Companies Act 2016, Financial Services Act 2013, Development Financial Institutions Act 2002, Central Bank of Malaysia Act 1958 etc.
  • Must have technical knowledge and experience on corporate secretarial functions.
  • Must have knowledge and ability to advice on general corporate legal issues.
  • Professional company secretarial qualification/license holder would be an added advantage.
  • Good analytical skills and sound legal judgment to support business operation needs.
  • Good review/minutes drafting skills with a high degree of integrity.
  • Resourceful, self-motivated, meticulous and able to work independently and work well under pressure.
  • Good Interpersonal Skills and Good Command of English / Bahasa Malaysia both verbal & written.
  • Good understanding on the legal and regulatory requirement of corporate secretarial function.
