As a Legal Manager, you are required to provide expert advice to sales, supply chain management, project management, operations, finance and HR team on relevant contracts, in compliance with appropriate legislation, professional standards and the Company’s corporate guidelines on contractual terms and conditions and other relevant legal matters. Candidate must have met the following experience in contract management and tendering activities.

• Lead all activities related to contractual, legal, commercial and insurance issues related to contracts with clients and purchase order with suppliers including the drafting of contracts.

• Meeting with clients and suppliers to negotiate contracts.

• Review the pre-award tender documents, identify and mitigate commercial and legal risk of the contract, preparing and presenting documents for tenders.

• Assess the Company’s obligations and liabilities, including geopolitical risks and sanction assessment, insurance requirements, bank guarantee / corporate guarantee wordings, etc.

• Contract formulation, review and preparation for signature.

• Handle contractual, legal, commercial and insurance issues (including resolving disputes) related to contracts with clients, purchase orders with suppliers and joint venture partners.

• Establishment of joint venture, consortium or other partnering agreements.

Job Scope:

Review tender instructions, terms and conditions and ensure that all risk areas are properly addressed, as well as highlighting areas of requirement with potential cost / delivery impact.

• Review all commercial terms and conditions in tender and draft contracts and recommend exceptions and / or modifications.

• Finalizing purchase orders or contracts with customers when tenders are awarded to the Company.

• Update and maintain a contract review experience database with a view towards knowledge dissemination and formulation of the company’s general policy toward specific terms and clauses.

2. Performance of geopolitical risks and sanction assessments on every projects and to identify potential violation of international sanction law with the assistance of external subject matter expert.

3. Work together with Finance and supply chain management to review letters of credit to ensure that documentary requirements therein are achievable and that the terms of the letter of credit are consistent with the signed contract / purchase order.

4. Coordinate requirements and applications for bid bonds, performance bonds, advance payment bonds as well as parental company guarantees.

• Working with Group Finance and treasury department to review bond language.

• Coordination of other administrative bond requirements such as correspondent banks and delivery instructions.

• Follow up for purpose of expediting bond issuance.

5. To administer, coordinate & review adhoc agreements such as representative agreement, distributorship agreement, MOU, collaboration / consortium agreements.

• To review these agreements in accordance with the Company’s corporate guidelines on contractual terms and conditions.

• To ensure that the major terms of all adhoc agreements such as non-compete, business exclusivity, duration and scope etc are acceptable.

6. To set up and maintain a set of standard term and conditions of sales and purchases and other agreements and undertake periodic review to ensure alignment with applicable laws and best practices.

7. Ensure that all inherent risks of the Company’s activities are covered by policies of insurances (except personnel / workmen based policies) and to administer and maintain these insurance policies. Develop an insurance database to monitor, update and assess adequacy / suitability on periodic basis.

8. Other ad hoc assignments such as establishment of joint venture company and winding up of companies in collaboration with Company Secretary.

Requirement:

  • Minimum Qualifications: A Bachelor of Laws’ (LL.B.) degree from a recognized university.
  • Minimum 10 years in a contract review / commercial capacity in an Oil & Gas, manufacturing, shipping or construction industry.
  • A positive, “can do” attitude and be an excellent “team player”.
  • The ability to manage multiple work streams.
  • Well developed internal and external networking skills.
  • Excellent contract drafting and negotiations skills.
  • To be able to develop highly effective working relationships with colleagues in the team and across the organization.
  • Excellent command of written and spoken English.
