About the Role

X Consultancy Group is looking for an experienced Manager/Assistant Manager – Company Secretary to oversee and manage a portfolio of clients, ensuring full compliance with statutory and regulatory requirements in Malaysia.

As an Manager/Assistant Manager, you will play a key role in ensuring corporate governance best practices, providing expert guidance to clients, and leading a team to deliver efficient and accurate corporate secretarial services. You will be responsible for advising directors and stakeholders on compliance matters, handling corporate transactions, and ensuring all statutory records and filings are completed promptly.

Key Responsibilities :

Corporate Secretarial Compliance & Governance

  • Manage and oversee a portfolio of clients, ensuring all company secretarial matters comply with the Companies Act 2016, Bursa Malaysia regulations (if applicable), and other statutory requirements.
  • Act as a key advisor to directors, shareholders, and stakeholders on corporate governance, compliance, and regulatory obligations.
  • Draft and review resolutions, board papers, minutes, and statutory forms for board and shareholders’ meetings, ensuring compliance with governance best practices.
  • Ensure timely filing of Annual Returns, resolutions, and other statutory documents with the Companies Commission of Malaysia (SSM/CCM).
  • Maintain statutory registers, corporate records, and compliance documentation for clients.

Client & Regulatory Engagement

  • Act as the primary liaison between clients and SSM, Bursa Malaysia, LHDN, banks, and other regulatory authorities.
  • Provide advisory on corporate restructuring, share transfers, and changes in directorship.
  • Conduct due diligence and compliance checks in relation to corporate transactions and regulatory requirements.

Leadership & Team Development

  • Lead, supervise, and mentor junior secretarial staff, ensuring adherence to compliance and service quality standards.
  • Conduct internal training and knowledge-sharing sessions to keep the team updated on regulatory changes and best practices.
  • Assist in process improvement and digital transformation for corporate secretarial operations.

Requirements & Qualifications :

Technical & Industry Expertise

  • ICSA qualification / Licensed Company Secretary by SSM or Degree in Corporate Administration, Secretarial Science, or equivalent.
  • 5+ years of relevant corporate secretarial experience, with at least 2 years in a supervisory or managerial role.
  • Strong knowledge of Companies Act 2016, Bursa Malaysia regulations, SSM/CCM requirements, and corporate governance frameworks.
  • Experience handling corporate restructuring, share transactions, and compliance advisory is an advantage.
  • Prefer Mandarin speaker.

Leadership & Management Skills

  • Excellent client management and advisory skills to guide directors and stakeholders on compliance matters.
  • Strong problem-solving and decision-making abilities, especially in regulatory compliance matters.
  • Ability to manage multiple clients, deadlines, and priorities effectively in a fast-paced environment.
  • Proven ability to lead and develop junior team members.

Soft Skills & Language Proficiency

  • Fluent in English and Mandarin (spoken and written) to liaise with local and international clients.
  • High attention to detail, analytical mindset, and strong organizational skills.
  • Proficiency in Microsoft Office (Word, PowerPoint, Excel) and corporate secretarial software.
