Job Description- Manage a portfolio of client companies, ensuring that all company secretarial functions are carried out in compliance with statutory requirements and best practices.
- Provide corporate secretarial advisory services to clients, including company incorporation, statutory compliance, and governance matters.
- Organize and facilitate Board and Shareholder meetings for client companies, including preparing agendas, drafting resolutions, and compiling board papers.
- Assist clients in pre- and post-meeting matters, including taking minutes and ensuring compliance with corporate governance requirements.
- Prepare and circulate Directors' Circular Resolutions and Circular Resolutions for Board Committees to obtain timely approvals.
- Provide guidance to clients on regulatory requirements and corporate exercises, ensuring compliance with applicable laws and regulations.
- Draft, review, and verify corporate information for clients’ Annual Reports, ensuring accurate disclosures and compliance with statutory obligations.
- Liaise with the Companies Commission of Malaysia (CCM), solicitors, auditors, and relevant authorities to ensure timely submission of statutory documents.
- Maintain and update statutory records, registers, and corporate information for client companies in compliance with the Companies Act 2016.
- Monitor and interpret changes in corporate governance regulations, advising clients on best practices and ensuring ongoing compliance.
- Identify and implement process improvements to enhance the efficiency of corporate secretarial services provided to clients.
- Prepare periodic reports and updates on secretarial matters for clients and internal stakeholders.
- Develop and implement policies and procedures to strengthen governance and regulatory compliance for client companies.
- Ensure timely preparation and submission of statutory forms, returns, and notifications to relevant regulatory bodies.
- Assist with client training and advisory sessions to enhance their understanding of corporate governance and compliance requirements.
- Guide and mentor junior executives or executive secretaries, ensuring they are aligned with industry best practices.
- Perform other related duties and ad-hoc tasks as required in the provision of corporate secretarial services.
Education and Professional Qualifications:- A Bachelor's Degree in Law, Corporate Administration, Business Administration, Finance, Accounting, or a related field.
- A professional qualification such as MAICSA (Malaysian Institute of Chartered Secretaries and Administrators) or ICSA (Institute of Chartered Secretaries and Administrators) is an advantage but not mandatory.
- Candidates currently pursuing professional secretarial qualifications will be considered favorably.
- A background in Finance or Accounting is a bonus.
Experience:- At least 2 years of relevant experience in corporate secretarial practice, preferably in a corporate secretarial firm or service provider setting.
- Strong knowledge of the Companies Act 2016 and other relevant regulations.
- Familiarity with corporate governance best practices, compliance frameworks, and statutory reporting requirements.
- Experience in handling Board and Shareholder matters for multiple client companies, including managing regulatory filings and governance obligations.
