Vice President, Group Company Secretarial
To assist the Group Company Secretary in handling the company secretarial matters for Kenanga Investment Bank Berhad (“KIBB”) and its group of companies and ensure the Group’s compliance with the relevant regulatory and statutory requirements.
KEY RESPONSIBILITIES
1.Compliance of Kenanga Group of Companies with statutory obligations under any relevant laws and regulations: -
- Assist the immediate superior/ Group Company Secretary in providing support and advice to Kenanga Group of Companies on company secretarial matters in compliance with the provisions of the Companies Act 2016, Main Market Listing Requirements, as well as other relevant regulatory/ statutory requirements.
2.Coordination and administration of Shareholders/ Board/ Board Committee/ Management Committee Meeting: -
- Assist the immediate superior/ Group Company Secretary in ensuring that the General Meetings/ Board/ Board Committee/ Management Committee meetings KIBB Group of Companies are properly convened.
- Assist the immediate superior/ Group Company Secretary in ensuring that all secretarial administrative matters are attended to promptly and accordingly.
- Prepare Directors’/ Members’ Circular Resolution and extract of minutes of the meetings for the immediate superior/ Group Company Secretary’s review.
- Prepare Board/ Board Committee meeting papers relating to Board/ corporate secretarial matters for the immediate superior’s/ Group Company Secretary’s review prior to tabling to the Board/ Board Committee meetings.
3.Proper maintenance of statutory records of Companies within Kenanga Group: -
- Assist the immediate superior/ Group Company Secretary in maintaining the statutory books and records of the Kenanga Group.
- Assist the immediate superior/ Group Company Secretary in ensuring timely lodgment. /Submission of the statutory documents/ information/ notification to the relevant authorities (Suruhanjaya Syarikat Malaysia) as prescribed in the Companies Act, 2016.
JOB REQUIREMENTS
- Degree in law or Corporate Secretarial or its equivalent.
- Institute of Chartered Secretaries & Administrators (UK) Qualification.
- At least five (5) years of relevant experience in Company Secretarial inclusive of minimum two (2) years’ experience in a public listed company.
- Sound knowledge of the Companies Act, 2016, Listing Requirements of Bursa Malaysia Securities Berhad and Malaysian Code on Corporate Governance
- Excellent command of English and Bahasa Malaysia, both verbal and written.
- Computer literate, good communication and interpersonal skills.
- Must be resourceful, analytical, meticulous, diligent, responsible and able to work under extreme pressure with minimal supervision.
