Job Purpose:

The Senior Manager, Board Secretariat oversees the Board Secretariat unit that supports AFI’s strategic objective of organization effectiveness and sustainability by ensuring that: (a) AFI’s governance procedures and proceedings are effectively and efficiently administered and managed to provide smooth governance function; (b) the Board and Board Committees are effectively supported and well informed and that its activities are well documented for review by the Board and Board Committee members; and (c) governance reporting is accurate, timely and of quality.

Accountabilities / Key Responsibilities:

  • Manage secretariat services and support to the Membership Council, Board of Directors, Board Committees, and Management Team.
  • Administer and ensure AFI’s compliance with its Articles of Association, relevant rules and regulations and best practices.
  • Facilitate the convening of and attend meetings of the Board and Board Committees and prepare minutes for record thereafter. Ensure decisions made thereof are disseminated to Management and Business Units to be followed through and update the Board or Board Committees on time.
  • Organize the Annual General Meeting in accordance to the requirements as stated in AoA and any other advice as deliberated and agreed by the Board of Directors.
  • Prepare and review high-level documentation, strategic correspondence, agenda, resolutions, materials and minutes for submission to the Board and Board Committees to ensure the submissions are accurate, timely and of good quality.
  • Develop and review the Annual Report, Management Reports, Quarterly Reports and high-level speeches.
  • Provide guidance to business units responsible for providing technical support for Board Committees.
  • Communicate with Board members, Committee members and focal points.
  • Manage and monitor budget for the Board Secretariat function.
  • Supervise, coach and provide guidance to Board Secretariat staff.

Qualifications & Experience:

  • Bachelor’s degree in law, accounting, corporate governance, business administration, management or related field is required.
  • Master’s degree is preferred.
  • Chartered Secretary of professional body would be an advantage.
  • Minimum 10 years of work experience in financial institutions, member-driven associations/networks, international organization or national organization where the scope of work has primarily focused on engagement with international clients/partners.
  • Minimum of 3 years in handling governance duties and hands on experiences with governance best practices
  • With a legal background and experience in addressing and managing basic legal issues that arise within the organization.

Technical & Behavioral Skills:

  • Institutional understanding and knowledge of AFI’s governance and decision-making structure and processes
  • Knowledge of good practices in governance policies, meeting procedures and decision-making rules
  • Knowledge of Articles of Association and applicable laws and regulations
  • Knowledge of governance reporting requirements and practices
  • Experience with notes/minute-taking at high-level meetings and the development of high-level summary documents
  • Ability to interact with directors, officials and representatives from member institutions from different regions and countries
  • Strong report writing skills
  • Full proficiency in Microsoft Office including Word, Excel, PowerPoint and Outlook
  • Proficiency in English and at least one additional language
  • Excellent interpersonal, presentation, and verbal communication skills
  • Excellent time management skills
  • High level of maturity and professionalism
  • High degree of independence and accountability
  • Ability to handle confidential information with discretion

Key Challenges:

  • Ensuring adequate support provided to the growing governance structure of AFI from time to time within the resources available.
  • Managing tight deadlines for preparation of papers for Board and Committee meetings especially where the meetings are held concurrently at the Global Policy Forum.
  • Scheduling meetings, where meetings are conducted virtually, at appropriate time considering the different time zones where Board and Committee members reside.
