We are seeking a Company Secretarial Manager to join our dynamic team. In this role, you will be responsible for ensuring that the company's board meetings and other governance procedures are conducted in accordance with legal and regulatory requirements. You will work closely with the Head of Legal and Executive team, providing advice and support on a range of legal and regulatory issues. The successful candidate will be passionate about the biotechnology industry and dedicated to improving patient outcomes through precision oncology.
Responsibilities- Carry out general company secretarial duties for all group companies, including company incorporation, business registration, deregistration, updating group company chart and cap table, arranging notarization and attestation, opening of bank accounts, and filing of annual returns
- Maintain and update statutory records and company secretarial filing systems
- Support the preparation of SEC filings, including annual report, registration statement updates, forms for directors and substantial shareholders, and other required disclosures.
- Document minutes of Board and committee meetings and draft relevant resolutions.
- Coordinate share issuances with the company's transfer agent and respond to shareholder queries for transfer and trading shares
- Manage employee share option platform and ensure information is up-to-date
- Liaise with various teams for information and documents required for regulatory reporting
- Perform other ad-hoc duties as required
- 5+ years of company secretarial experience with listed companies with onshore and offshore entities
- Solid understanding and knowledge in corporate governance and listco compliance, including regular disclosure and AML/KYC requirements.
- Strong English writing abilities, especially able to draft board minutes, resolutions and liaise with external parties
- Experience with US listed companies is a bonus
- Good team player, strong communication skills and able to work under pressure and meet timelines
- Detail-oriented, well-organized, keen to learn, and willing to take initiative
- Fluency in written and spoken English
- Professional qualification with ICSA/HKICS membership with University degree from relevant discipline
- Proficient in Word and Excel
