Senior Executive, Secretarial (D2)
Reports To
Senior Manager, Secretarial
Role Purpose
Assist Senior Manager and Manager to ensure compliance with the relevant statutory laws and regulations , advocate good governance to protect the interests of the Group and its stakeholders
Key Responsibility
- Accountable for timely and accurate preparation and submission of all statutory forms for Senior Manager's review and subsequent filing to Companies Commission of Malaysia (CCM)
- Ensure proper affixation of Company's Common Seal and to helps record the same
- Prepare circular resolutions, Power of Attorney documents, monitor and track execution of Power of Attorney (PA) for Stations
- Assist Senior Manager and Manager to ensure all statutory records are up to-date
- Accountable for systematic maintenance of statutory and secretarial records and support implementation of corporate exercise / actions, such as acquisitions, disposals, formations and liquidations of companies, restructuring of Group companies and investments (including overseas interests), injection of share capital and loan capital and payment of dividends, etc.
Qualification & Experience
- Degree in ICSA qualification and sufficient knowledge and experience in Company Secretarial matters will be an added advantage with 04 years experience at handling corporate secretarial functions.
Skills & Knowledge
- Knowledge of the company secretarial procedures and corporate governance best practices
- Able to handle an aspects of secretarial duties quite independently
- Initiative, well-organised, details-oriented with a strong sense of responsibility and commitment to meet tight schedule
- Posses good interpersonal and communication skills with pleasant personality and able to interact with all levels of management and external parties
