Job Summary Sancy Berhad is seeking a proactive and experienced Senior Executive - Legal and Secretarial to join our dynamic team. This role is key to managing and executing legal and secretarial functions across the group of companies. The position requires a hands-on professional with strong corporate legal knowledge, excellent drafting skills, and the ability to work independently while collaborating with various internal and external stakeholders. The ideal candidate should have 3–5 years of Post-Qualified Experience (PQE) and strong knowledge of corporate law and secretarial practices. ________________________________________ Key Responsibilities • Legal & Secretarial Oversight o Act as the sole executive in the Legal & Secretarial Department, supporting the Head of Legal and Management on legal, secretarial and governance matters, including communicating with Management on approvals. o Liaise with external company secretary and corporate advisors to coordinate and prepare for Board Meetings and Annual General Meetings, as well as any corporate exercises. • Document Drafting & Review o Legal: Prepare and review a wide range of legal documents including commercial agreements, service contracts, internal policies, HR documentation, and other documents. Facilitate contract execution and stamping procedures. o Secretarial: SSM Documents, resolutions. • Advisory & Compliance o Provide day-to-day legal advisory to internal departments, particularly HR and projects. o Conduct legal research as and when required, keep updated on relevant laws. o Manage compliance matters for the group, including oversight of legal risks, corporate governance, and regulatory requirements. • Document Management o Maintain and improve the filing system for legal and secretarial documents—both physical and digital (SharePoint). Ensure effective organization and accessibility of critical records such as agreements, board resolutions, and statutory documents. • Stakeholder Management o Point of Contact for shareholders, assist in communication between stakeholders and Management • Ad Hoc matters o Assist in ad-hoc matters to support operations ________________________________________ Requirements • Bachelor’s degree in law (LL.B) • 3 to 5 years PQE in corporate legal practice, in-house legal, or a combination of both. • Strong understanding of Malaysian corporate law, Bursa listing requirements, and secretarial compliance. • Excellent legal drafting and analytical skills. • Professional fluency in English, able to communicate clearly with stakeholders. • Meticulous, organized and self-motivated. • Strong stakeholder management and interpersonal skills. • Proficient in Microsoft Office and document management platforms (i.e., SharePoint). • Willingness to learn and take initiative in a dynamic environment.
