Summary

Able to manage and administer secretarial practices including compliance with relevant laws and regulatory requirements and handling pre and post requirements for meetings of the Board, Board Committees and Senior Management Committees.

Responsibilities:

  • Liaise with both internal and external parties, including various authorities in relation to compliance with regulatory requirements and governance issues.
  • Prepare resolutions, statutory forms, and ensure timely execution and to follow-through on required actions within specified timelines.
  • Prepare agendas, papers, circular resolutions, compilation and circulation of papers for relevant Board, Board Committee and Senior Management Committee Meetings.
  • Facilitate and attend meetings as required and accurately record minutes for relevant Board, Board Committee and Senior Management Committee Meetings.
  • Draft relevant statements for Integrated Annual Report and Circular to Shareholders.
  • Perform any ad hoc tasks as and when required.

Requirements:

  • A minimum of 5 years relevant company secretarial experience and conversant with the full spectrum of secretarial duties.
  • Exposure in financial institution and/or public listed companies would be an added advantage.
  • Possess CGI (ICSA) qualification or CGQP (ICSA) finalist.
  • Well-versed in the provisions of the Companies Act 2016, Bursa Malaysia Main Market Listing Requirements, Malaysian Code on Corporate Governance, and other regulatory requirements.
  • Posses good command of written and spoken English and Bahasa Malaysia and ability to interact with all levels.
  • Posses good interpersonal skill, working ethic and high degree of integrity.
  • Posses ability to multi-task in a fast paced working environment, skilled in minutes writing with a good sense of urgency in meeting deadlines.
  • A good team player, able to work with minimum supervision and maintain confidentiality at all times.
