  • Advising the holding company’s Board of Directors and Management on compliance of the listing rules and corporate governance matters.
  • Communicating and consulting with the Continuing Sponsor on holding company’s continuing listing obligations.
  • Drafting holding company’s announcements, circulars, news releases and releasing them on SGXnet.
  • Organising holding company’s general meetings and board meetings with the company secretary.
  • Drafting board resolutions and working with company secretaries on company secretarial matters, statutory filings, and constitutional documents of Group entities.
  • Managing the production of holding company’s annual reports, sustainability reports, and circulars.
  • Preparing documentations for and project managing corporate exercises (e.g. placements, acquisitions, disposals).
  • Monitoring compliance of the Group’s Legal Policy.
  • Drafting and reviewing contracts and other legal documents.
  • Conducting legal research and desktop due diligence on potential business partners and vendors.
  • Attending to meetings and recording minutes of meetings.
  • Managing and keeping up-to-date records of intellectual properties, contracts and other information pertinent to the role.
  • Engaging, consulting, and liaising with relevant stakeholders of the Group (regulators, external advisors, contract parties, etc.).
  • Any other works as instructed from time to time.

Key Requirements

  • Minimum LLB (Hons) and admitted to Malaysian Bar as Advocates & Solicitor
  • Minimum 8-10 years of experience of both in-house and law firm practice experience is preferred.
  • Familiarity and experience in advising on compliance of the Singapore Exchange (SGX) listing rules and corporate governance matters.
  • An excellent command of verbal and written English and drafting skills.
  • High resilience and agility in a fast-paced and changing environment
