Key Roles and Responsibilities:-
- To provide in-house secretarial services in managing and administering day-to-day operation of secretarial practices and requirements for the Group.
- Organize and manage meetings, including prepare agendas, drafting minutes, follow-up on action items.
- Manages the submission of necessary documentation to regulatory bodies and maintains updated registers.
- Advise the board on governance matters and ensure the company complies with all relevant laws and regulations, including the Companies Act
- Handle correspondence, collate information and write reports, ensuring decisions made are communicated to relevant company stakeholders.
- Liaise with external regulators and advisers, such as lawyers, bankers and auditors.
- Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
- Draft directors’ and shareholders’ resolutions, complete statutory forms, and ensure timely execution and to follow-through on required actions within specified timelines
- Liaison with business related government agencies, business partners as well as internal stakeholders whenever necessary.
- Review statutory documents relating to special projects, licensing projects or Corporate’s assignment.
- Handling of resolutions, updating registers/company profiles, lodgment/submission of statutory form/documents to SSM and LHDN stamping, certification of documents, and other related jobs.
- Track project progress and ensure deadlines are met.
Requirements: -
- Bachelor’s Degree in Law, Business Administration, Corporate Governance or a related field.
- Candidates with professional qualifications such as ICSA (Institute of Chartered Secretaries and Administrators) or MAICSA (Malaysian Institute of Chartered Secretaries and Administrators) is a bonus.
- At least 5 years of experience in a company secretarial role.
- Strong knowledge of Malaysian Corporate laws and other relevant regulations.
- Excellent organizational, communication and interpersonal skills.
- Proficiency in Microsoft Office
- Proficiency in verbal and written in English, Bahasa Malaysia and Mandarin as require to liaise with China stakeholders.
- Possess high level of integrity, ethical standards and attention to detail.
- Ability to handle sensitive information with discretion and confidentiality.
