Title: Specialist, Company Secretarial

Type: 8-Month Contract (Maternity Leave Coverage)

Salary: 10,000 - 13,000 MYR/month

JOB PURPOSE:

Discharge company secretary functions and ensure compliance with the Companies Act 2016 and other relevant legislations and regulations for the group of companies. Monitor, supervise, and guide relevant colleagues and external corporate secretarial firms in statutory compliance and updating the company’s statutory information.

KEY ACCOUNTABILITIES:

• Prepare resolutions, documents, notices, and agendas for meetings; convene and attend Board, shareholders, and board committee/management meetings; and draft minutes.

• Ensure timely submission of statutory returns, filings, and documents to the registrar of companies and other relevant authorities.

• Advise the company, management, and board on statutory and corporate secretarial requirements.

• Draft and review documentation related to corporate exercises.

• Interface with and provide support to internal and external stakeholders for requests for corporate secretarial information and documents.

• Maintain corporate secretarial documents and records for the group of companies.

• Handle other secretarial matters and ad-hoc assignments as delegated.

QUALIFICATIONS AND REQUIREMENTS:

• Professional membership of the Malaysian Institute of Chartered Secretaries and Administrators, Malaysian Institution of Accountants, Malaysian Association of Company Secretaries, Malaysian Institute of Certified Public Accountants, or Licensed Secretary under the Companies Act 2016.

• At least 5 years of experience as a company secretary.

• Hands-on experience in preparing for and attending shareholders, board, and management meetings; minute writing; drafting resolutions; and reviewing corporate secretarial and compliance work.

• Well-versed in the provisions of the Malaysian Companies Act 2016 and other relevant laws and regulations.

• Strong communication skills and ability to work collaboratively with stakeholders and colleagues; excellent proficiency in spoken and written English.

• Can-do attitude, initiative, strong interpersonal skills, and attention to detail.

• Able to work independently with minimal supervision and guidance.
