Your Responsibilities:

  • Assist the Group Company Secretary in managing and supervising a team to independently handle the full spectrum of company secretarial matters, including those related to the Listed Company, private entities and joint ventures.
  • Draft and review Bursa announcements and circulars.
  • Liaise and coordinate with internal and external parties, including auditors and regulatory bodies.
  • Organise and facilitate meetings of the Board and Board Committees, as well as general meetings, and prepare related board papers, minutes and materials.
  • Ensure compliance with all statutory rules and regulatory requirements, such as Listing Requirements, the Companies Act, the Capital Market and Services Act and Malaysian Code of Corporate Governance.
  • Support the Company Secretary team and participate as a core member in the preparation of the Integrated Annual Report.
  • Handle and organise the Annual General Meeting and any Extraordinary General Meeting.
  • Undertake other ad hoc projects as assigned.

Your Merits:

  • Minimum 8 years hands-on company secretarial experience in a listed company or advisory & corporate consultancy.
  • MAICSA/MACS membership is a plus.
  • Bachelor’s degree in Corporate Administration, ICSA qualification, or LLB qualification.
  • Experience in administering services to both private limited and public listed companies, and handling multinationals.
  • Conversant in Listing Requirements, Companies Act, CMSA, and other statutory requirements, as well as business rules and regulations related to corporate secretarial functions.
  • Good inter-personal and communication skills.
  • Proven proficiency in minutes writing.
