Job Overview

The Company Secretary will play a crucial role in ensuring compliance with corporate governance standards, supporting the Board of Directors, and maintaining high standards of regulatory compliance for Ireka Corporation, a publicly listed company on Bursa Malaysia. The ideal candidate will be a licensed Company Secretary with a strong background in corporate governance and listed company regulations.

Key Responsibilities

Corporate Governance & Compliance

- Ensure adherence to corporate governance principles as mandated by the Malaysian Companies Act, Bursa Malaysia Securities Listing Requirements, and all other relevant legislation for listed companies.

- Oversee the implementation of board policies and procedures to maintain a strong governance framework.

- Provide counsel to the Board and management on corporate governance practices.

Board Support & Documentation

- Organize and attend Board meetings, Annual General Meetings (AGMs), and other committee meetings.

- Record, prepare, and distribute minutes of meetings to document all discussions and decisions accurately.

- Liaise with board members and senior management to ensure timely dissemination of information and compliance with regulatory deadlines.

Regulatory Reporting & Filings

- Manage timely submission of statutory filings and disclosures through the Bursa Malaysia reporting platform.

- Ensure compliance with disclosure requirements and maintain accurate records of regulatory submissions.

- Act as the primary liaison with Bursa Malaysia and other relevant authorities, ensuring timely and accurate reporting.

Stakeholder Engagement

- Maintain communication with internal stakeholders, ensuring alignment on compliance and governance matters.

- Provide regular updates to the Group Chief Risk and Compliance Officer on governance practices and regulatory changes impacting the organization.

Risk, Compliance, and Legal Collaboration

- Collaborate with the Risk, Compliance, and Legal team to ensure cohesive support across all governance, risk, and compliance functions.

- Provide insights on governance risks and assist in the management of the company’s compliance obligations.

Qualifications and Experience

1. Must hold a valid Company Secretary license, either from the Companies Commission of Malaysia (SSM) or MAICSA (Malaysian Institute of Chartered Secretaries and Administrators) or Malaysian Association of Company Secretaries (MACS).

2. Minimum 5 years’ experience as a Company Secretary, ideally within a publicly listed company.

3. Proficiency in using the Bursa Malaysia reporting platform.

4. Extensive knowledge of the Malaysian Companies Act (2016), Bursa Malaysia Listing Requirements, and related legislation for public listed companies.

Skills and Competencies

- Strong understanding of corporate governance, regulatory compliance, and public company requirements.

- Excellent organizational and communication skills, with the ability to manage confidential information effectively.

- Strong attention to detail and accuracy in preparing documentation and reports.

- Team player with an ability to work effectively within the Risk, Compliance, and Legal team.

Job Types: Full-time, Permanent

Pay: RM8,000.00 - RM12,000.00 per month
