Core Legal Functions 1. Legal Oversight - Manage all legal aspects of the company, including corporate governance and secretarial matters. - Provide comprehensive legal advice to management on various issues, including operations, transactions, and risk mitigation. - Oversee regulatory compliance with relevant laws and regulations. - Draft, review, and negotiate a wide range of legal agreements. - Manage litigation and dispute resolution, potentially overseeing external counsel. 2. Corporate Governance & Compliance - Manage Board and shareholder meetings (AGMs, Board Committee meetings), ensuring proper documentation and adherence to governance standards. - Develop and maintain corporate governance compliance reports. - Ensure compliance with the Company's Memorandum & Articles of Association. - Monitor changes in relevant legislation and the regulatory environment. 3. Additional Responsibilities - Assist HR with employment contracts and ensure compliance with labor laws. - Advise on tenders and review commercial contracts to safeguard the company's interests. - Manage custody of legal documents and ensure copyright compliance. - Contribute to the development of the legal department's strategy, plans, and budget. - Liaise with external parties, including government authorities, contractors, and clients. - Ensure accurate and updated company information is disclosed in public communications (press releases, annual report, website). Specialized Experience Bachelor's degree in Law, or a related field, Experience in the Oil & Gas industry is an advantage, 3+ years of direct experience in oil and gas law, regulatory law, and handling related litigation is preferred.
