Overview of the Position:This role is responsible for overseeing corporate secretarial functions, ensuring the organization’s compliance with the Companies Act 2016 and regulatory requirements, managing the lifecycle of contracts to protect the company's legal interests. The ideal candidate will have strong experience in corporate governance, secretarial duties, and contract management within a corporate environment.
The role required to execute the below tasks and initiative:- Corporate Secretarial Duties: Managing and administering secretarial practices to comply with the Companies Act 2016. Perform comprehensive company secretarial duties for all under the company, including the preparation of circular resolutions, annual returns, and other statutory documents.
- Statutory Compliance: Ensure compliance with local and international corporate governance regulations, including filing statutory returns and ensuring timely submission of documents to relevant authorities in accordance with legal requirements.
- Direct Selling Act Compliance: Ensure compliance with the Direct Selling Act and relevant regulations in Malaysia and other applicable countries.
- Corporate Governance: Oversee the company's corporate governance framework, ensuring compliance with applicable laws and regulations, and implement best practices.
- Coordination and Support: Coordinate and support other departments with special assignments and corporate initiatives.
- External Party Liaison: Liaise with external authorities and agencies, including regulatory bodies, auditors, and government institutions, to manage the corporate secretarial functions efficiently.
- Contract/ Agreement Compliance: Review and ensure that all agreements and contracts adhere to relevant laws, regulations, and company policies. Collaborate with other departments to ensure contractual obligations are met, and promptly address any issues or disputes that arise.
- Resolution Management: Prepare and manage the drafting, execution, and filing of resolutions for corporate decisions, including Board resolutions and shareholder resolutions, ensuring all are properly recorded and compliant with the Companies Act.
- Ad-Hoc Tasks: Perform additional ad-hoc tasks as assigned.
To be successful in this role, we are expecting the below: - Bachelor's Degree or Professional Qualification in Business Administration/ Management/ Secretarial or equivalent.
- At least 5 years and above of related working experience in a corporate secretarial role.
- Proficient in both written and verbal in Malay, English and Mandarin as this role needs to communicate with stakeholders who speak and write in Mandarin.
- Strong execution and organizational skills, proactive and excellent communication skills.
- Ability to anticipate and resolve issues with diplomacy.
