Lead the secretarial compliance works and support services to PLUS Malaysia Berhad Group of companies("PMB Group") and provide advice on all matters relating to company secretarial practice.
Responsibilities
- To provide in-house secretarial services in managing secretarial practices and corporate secretarial requirements, which include amongst other, the observation and compliance with statutory and other requirements.
- To act as Joint Company Secretary of PMB Group and is responsible for carrying out all duties and obligations as required under the Companies Act 2016.
- To review relevant statutory documents, as prepared by staff for the purpose of filing at the Companies Commission of Malaysia to ensure compliance with the relevant legislation.
- If any company under PMB Group is listed, to assist in the preparation of secretarial materials and corporate governance disclosures for the Annual Report, EGM and AGM of PMB Group and Circular to Shareholders. Involvement in Annual Report & EGM/AGM Committee, liaison with ShareRegistrars and mailers for timely issuance.
- Provide assistance in the organizing and coordination of the Board, Board Committee and General Meetings of PMB Group and communicating Boards' and/or Committees' decisions and disseminate information to Operating Units and relevant parties as directed.
- Act as named Company Secretary.
- Attend General Meetings, Board Meetings and Board Committee Meetings and review requisite action points and minutes thereof.
- Review master list, list of subsidiaries, associated and joint ventures companies, list of Directors and relevant corporate information for PMB Group, as and when required.
- Reviewing and verification of board papers, verification of secretarial/corporate information in audited financial statements / other submission documents and review of corporate exercise documents prior to submission to the authorities to ensure their completeness and accuracy.
- Advise internal clients/customers and provide solutions/resolutions.
- Ensuring maintenance and proper safekeeping of registers, statutory books, records and files as required by law, and ensuring smooth implementation of the document management system and CIS.
Qualifications
- Bachelor's degree in Law, Business, or Management.
- A member of a body as set out in the Fourth Schedule of Companies Act 2016; or
- Licensed by the Commission under section 20G of the Companies or Qualified Company Secretary by MAICSA, MACS, ACIS etc.
- Preferable with at least 7 years working experience in Company Secretarial Practice. Experience and exposure in a public listed company will be an added advantage.
- Proficient in both written and spoken English and ability to communicate effectively.
