• Develop and implement corporate governance policies and frameworks to ensure compliance with industry regulations and legal requirements. • Oversee the company's adherence to governance standards in the wholesale petroleum, logistics, and transport sectors. • Advise the Board of Directors and executive leadership on governance best practices and regulatory changes impacting the energy and logistics industries. • Monitor and assess compliance with environmental, health, and safety regulations specific to petroleum distribution and transport. • Establish and maintain effective internal controls, ensuring transparent decision-making processes and accountability. • Conduct regular audits and assessments of governance policies to identify areas for improvement and mitigate risks. • Develop risk management strategies to address financial, operational, and regulatory risks in petroleum supply chains and logistics operations. • Ensure the company’s policies align with international standards and practices in areas such as anti-corruption, corporate ethics, and sustainability. • Work closely with the legal department to ensure contracts, agreements, and partnerships comply with governance standards. • Lead training and development programs to educate employees and management on governance practices and ethical standards. • Facilitate communication between the board, executives, and shareholders regarding governance issues and risk management efforts. • Support the development of sustainable practices within the petroleum and logistics sectors, promoting environmental and social responsibility. • Collaborate with the compliance team to ensure the company meets all licensing and reporting obligations in line with industry-specific regulations. • Report on governance performance to the board, highlighting risks, compliance issues, and recommendations for improvements.
