To assist the Head of Group Secretarial Department in managing the corporate secretarial matters, including drafting of minutes and resolutions along with attending to Board and Board Committees' Meeting; to advise the Board and Management on regulatory requirements and governance related matters as and when required.

KEY RESPONSIBILITIES:

1. Review minutes of meeting or board resolution prepared by subordinates in terms of understanding of the subject matter, accuracy and completeness.

2. Review and finalize the documents prepared by subordinates before execution.

3. Ensuring proper and timely filing of the statutory forms/returns by subordinates to the Companies Commission of Malaysia and other relevant Authorities.

4. Attend meeting and prepare minutes or board resolution for review by Group Company Secretary before Management/ Director's review.

5. Review and finalize agenda of meeting and oversee subordinates on compilation/upload of meetings papers in accordance with the timeline and any meeting related matters.

6. Overseeing subordinates in attending to requests from internal and external stakeholders and on the completion of task

7. Liaise with auditors, due diligence solicitors, authorities and inter-departments staff on all corporate secretarial matters.

8. To keep abreast with the latest development or current topical issues relating to company secretarial practices and industry related matters.

9. Provide guidance or job training to subordinates for career development.

10. Identify skill gap (technical and leadership) for self and/or the team.

Requirements:

  • Degree in Corporate Administration/Law or from the Institute of Chartered Secretaries and Administrators (ICSA).
  • Member of ICSA of MAICSA.
  • Holding Company Secretarial Practicing Certificate/License is an added advantage.
  • At least 10 years working experience in the related field.
  • Familiar with Companies Act and Listing Requirements, knowledge in corporate law/companies act for other jurisdictions would be an added advantage.
  • Proficiency in spoken & written English.
  • Meticulous, possesses integrity, good interpersonal skills and able to communicate with all levels.

Job Types: Full-time, Permanent

Pay: RM9,000.00 - RM16,000.00 per month
