Job Responsibilities:

  • Lead and manage the secretarial function of OCI M SDN BHD, ensuring compliance with corporate governance and regulatory requirements.
  • Oversee the preparation, drafting, and filing of statutory documents, ensuring timely submissions to relevant authorities.
  • Direct the organization and documentation of Board meetings, including agendas, minutes, and follow-up actions to ensure effective governance.
  • Provide expert advice to the Board of Directors and senior management on corporate governance practices and regulatory changes.
  • Ensure that corporate records are maintained accurately, including registers of shareholders and directors, and manage the company’s statutory books.
  • Monitor compliance with company policies and procedures, and recommend improvements to enhance efficiency and effectiveness.
  • Coordinate with external regulators, advisors, and service providers to ensure compliance with applicable laws and regulations.
  • Develop and deliver training programs on corporate governance and secretarial practices for staff and directors.
  • Stay updated on legal and regulatory developments affecting corporate governance to ensure the organization remains compliant.

Requirements

Job Requirements:

  • Bachelor's degree/ Master's degree in Law, Business Administration, or a related discipline; a professional qualification in company secretarial practice (e.g., ICSA) is highly desirable.
  • Minimum of 10 years’ experience in corporate secretarial or governance roles, with at least 5 years in a managerial capacity.
  • Comprehensive understanding of corporate governance, company law, and regulatory requirements.
  • Strong organizational and project management skills with exceptional attention to detail.
  • Excellent communication skills, both written and verbal, with proficiency in drafting formal documents.
  • Ability to interact effectively with a diverse range of stakeholders, including Board members and regulatory bodies.
  • Proficient in using office and secretarial management software; familiarity with corporate governance tools is a plus.
  • Fluency in English and Bahasa Malaysia; knowledge of additional languages is an advantage.
  • Demonstrated integrity, confidentiality, and professionalism in handling sensitive information.
