We are seeking a highly skilled and experienced Company Secretary to join our team. The successful candidate will play a critical role in managing corporate secretarial functions for our diverse client portfolio, ensuring compliance with the Companies Act 2016, regulatory filings, and other statutory obligations.
Key Responsibilities:
- Corporate Compliance Management: Ensure compliance with the Companies Act 2016, including timely submission of statutory documents to the Companies Commission of Malaysia (SSM).
- Client Advisory: Provide expert advice on corporate governance, regulatory updates, and compliance best practices to clients.
- Board Meeting Management: Prepare agendas, organize, and attend board meetings and annual general meetings (AGMs) as required, ensuring accurate minutes are recorded and distributed.
- Statutory Filings: Oversee the preparation, review, and submission of statutory returns, financial statements, and other required documents to relevant authorities.
- Documentation and Record Keeping: Maintain and update statutory books, registers, and other company records, ensuring all documents are accurate and easily accessible.
- Liaison: Act as the primary liaison with regulatory bodies, including SSM, Bursa Malaysia (if applicable), and other authorities.
- Continuous Improvement: Stay up-to-date with regulatory changes, implementing best practices to streamline secretarial and compliance processes within the team.
Qualifications and Requirements:
- Professional Certification: Member of a recognized professional body (e.g., MAICSA, MIA, MACS) or holder of an SSM Company Secretary License.
- Experience: Minimum of 3 years of experience in corporate secretarial roles, with strong familiarity in compliance, board management, and client advisories.
- Educational Background: Degree in Corporate Administration, Corporate Governance, Law, Accounting, or related field preferred.
- Technical Knowledge: Proficiency in the Companies Act 2016, corporate governance standards, and statutory requirements for private and public companies.
- Skills: Excellent organizational, communication, and interpersonal skills, with a high level of attention to detail.
- Proficiency in MS Office Suite and company secretarial software (e.g., MyCoID, MBRS) is preferred.
