Company Secretary

Job Responsibilities:

  • Ensure the company is in accordance with the Companies Act.
  • Schedule meetings and prepares the minutes of meetings.
  • Monitoring and ensure action taken for the matter arising of each meeting held.
  • Maintaining effective records and administration, i.e., prepare and disseminate correspondence, memos, and forms.
  • Liaise with appointed company secretarial firm in connection with company secretarial matters.
  • Maintain and update statutory records including company registers, resolutions, minutes and maintain records with good filing system. Handle confidential documents and always ensure they remain secure.
  • Securing signatures of directors/shareholders on all company secretarial related documents.
  • Compile Board Meetings Papers and circulate meeting papers within stipulated timeframe.
  • Prepare pre-meeting arrangements and documents such as meeting room booking and set-up, arrangements for refreshment/lunch etc.
  • Ensure proper filing of documents and easy accessibility of all secretarial records in particular Resolutions, Minutes, CCM Forms, etc.
  • To assist in the company corporate exercises and preparation document of submission, circular to shareholder.
  • Liaise with various parties such as principal advisor, company secretary, registrar and solicitor processing of submissions for the transactions
  • Assist in ad-hoc assignments and other administrative work from time to time.

Qualification:

  • Candidates should have at least a Diploma/Degree in Secretarial, Business Administration, or the equivalent.
  • Proficient in both written and spoken English and Bahasa Malaysia.
  • Possess a strong sense of responsibility, commitment and able to multi-task in a fast working environment.
  • Computer literate; Microsoft Office or equivalent
  • Able to work in team and individual.

Requirements:

  • 6-7 years of relevant experience as a Company Secretary at a service firm / corporate company .
  • ICSA qualification will be more advantage.
  • Well verse with the practical applications of the Companies Act 2016 and other related /relevant laws and regulations.
  • Very detailed oriented and meticulous.
  • Organized, proactive and able to multi-task in a fast-paced working environment.
  • Self-discipline and able to work under minimum supervision.
  • Good command of written and spoken Bahasa Malaysia and English.

Job Type: Full-time

Pay: RM8,000.00 - RM10,000.00 per month
